1. Acceptance and Scope一、协议接受与适用范围

These Terms of Service ("Terms") form a legally binding agreement between you ("you", "User") and Dooflo ("Dooflo", "we", "us") governing your access to and use of the Dooflo platform, including the website, APIs, model gateways, storage, and any related services (collectively, the "Service").

本《用户服务协议》（下称"本协议"）是你（下称"用户"或"你"）与 Dooflo（下称"本平台"或"我们"）之间就使用本平台网站、接口、模型网关、存储及相关服务（合称"本服务"）所订立的法律协议。

We may publish supplementary policies (including the Privacy Policy and the Credits & Refund Policy). Those policies are incorporated into these Terms by reference. In case of conflict, these Terms prevail as to the use of the Service.

我们可能发布补充规则（包括《隐私政策》《积分与退款政策》），该等规则经引用构成本协议的组成部分。如内容冲突，就本服务的使用以本协议为准。

2. Eligibility and Account二、注册资格与账号

You must be at least 18 years old and legally capable of entering into contracts. If you use the Service on behalf of an entity, you represent that you are authorised to bind that entity.

你须年满 18 周岁且具备完全民事行为能力。如你代表某一主体使用本服务，你声明已获得该主体的合法授权。

You are solely responsible for the accuracy of your registration information and for all activity under your account, including any use by third parties you permit. You must keep your credentials confidential and notify us immediately of any unauthorised access. Accounts are personal and may not be sold, shared, sub-licensed, or transferred without our written consent.

你应对注册信息的真实性以及账号项下的一切行为（包括你允许的第三方使用）承担全部责任；须妥善保管登录凭据，发现异常应立即通知我们。账号仅供本人使用，未经书面同意不得出售、共享、转授权或转让。

We may refuse registration, or suspend or terminate an account, where we reasonably believe there is fraud, abuse, circumvention of quotas, or a breach of these Terms.

如有合理理由认为存在欺诈、滥用、规避配额或违反本协议的情形，我们有权拒绝注册、暂停或终止账号。

3. The Service and AI Output三、服务内容与 AI 生成特性

The Service provides AI-assisted generation of scripts, storyboards, images, and video. You acknowledge that generative models are probabilistic and that output may be inaccurate, incomplete, offensive, or unsuitable for your purpose.

本服务提供剧本、分镜、图像与视频的 AI 辅助生成。你理解生成式模型具有概率性，输出可能不准确、不完整、令人不适或不适合你的用途。

Output is not guaranteed to be unique. Other users may receive similar or identical output from the same or similar prompts. We do not warrant that any output is free of third-party rights, and we do not provide legal, medical, financial, or other professional advice.

输出不保证具有唯一性，其他用户就相同或相似提示词可能得到相同或近似结果。我们不保证输出不侵犯第三方权利，亦不构成法律、医疗、财务或其他专业建议。

You are responsible for reviewing output before commercial use, including for compliance with the rules of the platforms, festivals, broadcasters, or clients you deliver to.

在商业使用前，你应自行审查输出是否符合你所投递的平台、影展、播出机构或客户的规则。

4. Your Content and Ownership of Output四、用户内容与生成资产归属

4.1 You own your output4.1 生成资产的归属

As between you and Dooflo, and to the extent permitted by applicable law, you retain ownership of the content you upload ("Input") and the assets generated for you through the Service ("Output"). You may use, reproduce, publish, monetise, distribute, and sell your Output worldwide without payment of royalties to us, subject to your compliance with these Terms and with any third-party model terms described in Section 12.

在你与本平台之间，并在适用法律允许的范围内，你上传的内容（"输入"）及通过本服务为你生成的资产（"输出"）归你所有。在你遵守本协议及第十二条所述第三方模型条款的前提下，你可全球范围内使用、复制、发布、变现、分发与销售该等输出，无需向我们支付版税。

We claim no ownership of your Output. We do not register, sell, or license your Output to third parties for their own commercial exploitation.

我们不主张你的输出所有权，亦不会将你的输出登记、出售或授权第三方用于其自身商业开发。

4.2 Licence you grant us (showcase and promotion)4.2 你授予我们的展示与推广许可

You grant Dooflo a worldwide, non-exclusive, royalty-free, transferable and sub-licensable licence to host, store, reproduce, resize, transcode, excerpt, and publicly display your Output (with or without attribution, and where reasonably necessary with a platform watermark) for the purposes of: operating and improving the Service; demonstrating the Service in marketing, case studies, social media, presentations, and on our website; and promoting Dooflo.

你授予本平台一项全球范围内、非独占、免版税、可转让并可再许可的许可，用于托管、存储、复制、缩放、转码、节选及公开展示你的输出（可署名或不署名，必要时可加平台水印），用途包括：运营与改进本服务；在营销、案例、社交媒体、演示及官网上展示本服务；推广 Dooflo。

You may withdraw this promotional licence at any time by written notice to [email protected]. Withdrawal is effective prospectively and does not require us to recall, delete, or amend materials already published, printed, distributed, or embedded in third-party channels.

你可随时通过书面通知 [email protected] 撤回上述推广许可。撤回仅向将来生效，我们不因此负有召回、删除或修改已发布、已印制、已分发或已嵌入第三方渠道物料的义务。

4.3 Your warranties on Input4.3 关于输入的保证

You represent and warrant that you own or have all necessary rights, consents, and releases for every element of your Input, including scripts, images, likenesses, voices, music, and trademarks, and that your Input and your use of Output do not infringe any third-party right or violate any law.

你声明并保证：你对输入的全部要素（包括剧本、图像、肖像、声音、音乐及商标）拥有所有权或已取得全部必要授权、同意与授权书；你的输入及对输出的使用不侵犯任何第三方权利，不违反任何法律。

If you upload a real person's likeness or voice, you are solely responsible for obtaining that person's informed consent and for any publicity, personality, or deepfake-related compliance. We may remove content and suspend accounts upon a credible complaint.

如你上传真实人物的肖像或声音，你应自行取得该人的知情同意，并自行承担与肖像权、人格权及深度伪造相关的全部合规责任。收到可信投诉时，我们有权移除内容并停用账号。

5. Acceptable Use五、使用规范与禁止行为

You must not use the Service to create, upload, or distribute content that:

你不得利用本服务创建、上传或传播以下内容：

• is unlawful, defamatory, fraudulent, or infringing;违法、诽谤、欺诈或侵权的；
• sexualises minors, or depicts non-consensual sexual content, or intimate imagery of a real person without consent;涉及未成年人性化、未经同意的性内容，或未经同意使用真实人物私密影像的；
• promotes hatred, violence, terrorism, self-harm, or the exploitation of vulnerable persons;宣扬仇恨、暴力、恐怖主义、自残或剥削弱势群体的；
• impersonates a real person or entity in a deceptive manner, or is designed to deceive viewers about its synthetic nature where disclosure is legally required;以欺骗方式冒充真实人物或机构，或在法律要求披露合成属性时故意误导观看者的；
• contains malware, attempts to reverse engineer, scrape, or overload the Service, or circumvents quotas, billing, or access controls;含恶意代码、试图逆向工程、爬取或压垮本服务，或规避配额、计费与访问控制的；
• is used to build a competing model or dataset, or to resell the Service as a white-label offering without our written consent.用于训练竞品模型或数据集，或未经书面同意将本服务白标转售的。

We may investigate, remove content, throttle, suspend, or terminate access at our discretion. Termination for a breach of this Section does not entitle you to a refund of consumed credits or of prepaid fees.

我们有权自行调查、移除内容、限流、暂停或终止访问。因违反本条而被终止的，已消耗积分及已预付费用不予退还。

6. Credits, Fees and Payment六、积分、计费与支付

The Service is metered. Text inference is billed by consumed tokens, images by generated image, and video by output second, at the rates published in the app or on the pricing page at the time of the request. A request may be pre-authorised before execution and settled against actual usage afterwards.

本服务按量计费：文字推理按实际消耗 tokens 计费、图片按张计费、视频按输出秒数计费，费率以请求发生时应用内或定价页公布者为准。我们可在执行前预扣积分，并在执行后按实际用量结算。

Credits are non-refundable and non-exchangeable. Credits are a prepaid usage unit, not a currency, deposit, or stored value. Once purchased, credits cannot be refunded, returned, exchanged, transferred, or redeemed for cash, and they refresh or expire as described at purchase. This rule prevails over any other page, marketing statement, promotion, or customer-service communication. Where a request fails for a reason attributable to our system or an upstream model provider, the credits consumed by that failed request are returned to your balance for re-use; such a return is a service correction, not a cash refund. Prices, plans, and included quotas may change prospectively.

积分一经购买，不退不换。积分是预付的使用单位，不构成货币、存款或储值。已购积分不可退款、不可退回、不可兑换、不可转让，亦不可兑换现金，并按购买时说明的周期刷新或到期失效。本条优先于任何其他页面、营销表述、促销活动或客服沟通。如因我方系统或上游模型供应商的原因导致某次请求失败，该次失败请求所消耗的积分将退回你的账户余额供重新使用；该退回属于服务纠正，不构成现金退款。价格、套餐与包含额度可变，变更向将来生效。

Payments are processed by our merchant of record, Lemon Squeezy, which handles tax calculation, invoicing, and payment-related customer support. Chargebacks or payment reversals may result in immediate suspension of the account and forfeiture of associated credits.

支付由记录商户 Lemon Squeezy 处理，其负责税费计算、开票及支付相关客服。发生拒付或支付回退的，我们可立即暂停账号并作废相关积分。

7. Storage, Retention Window and Data Loss七、存储、保管期限与数据丢失

The Service is not a backup service. We provide storage only as a convenience for the period associated with your plan. Indicative retention windows are: Free 7 days, Standard 30 days, Professional 90 days, and Enterprise as separately agreed. Temporary intermediates may be deleted within 24 hours.

本服务不是备份服务。我们提供的存储仅为便利，保管期限与你所选套餐相关，参考值为：免费版 7 天、标准版 30 天、专业版 90 天、企业版另行约定。中间过程文件可在 24 小时内删除。

You are solely responsible for downloading and maintaining your own copies of all Input and Output. Once a retention window expires, content is deleted automatically and cannot be recovered.

你应自行下载并保存全部输入与输出的副本。保管期限届满后，内容将被自动删除且无法恢复。

To the maximum extent permitted by law, we are not liable for any loss, corruption, disclosure, or unavailability of content caused by: force majeure; failure, delay, or discontinuation of third-party infrastructure (including cloud storage, CDN, model providers, email, or payment processors); your own acts or omissions (including accidental deletion, credential compromise, or failure to back up); scheduled or emergency maintenance; cyber-attack; regulatory or law-enforcement action; or deletion after a retention window.

在适用法律允许的最大范围内，因下列原因导致的内容丢失、损坏、泄露或不可用，我们不承担任何责任：不可抗力；第三方基础设施（含云存储、CDN、模型供应商、邮件与支付服务商）的故障、延迟或停止服务；你自身的行为或疏忽（含误删、凭据泄露、未自行备份）；计划内或紧急维护；网络攻击；监管或执法行为；以及保管期限届满后的删除。

We may delete content without prior notice where required for legal compliance, risk control, capacity management, or enforcement of these Terms.

为遵守法律、控制风险、管理容量或执行本协议，我们可在不事先通知的情况下删除内容。

8. Changes, Suspension and Termination八、服务变更、中止与终止

We may modify, limit, deprecate, or discontinue any part of the Service, including models, features, and quotas, at any time. Where a change materially reduces paid functionality, we will use reasonable efforts to give advance notice; such notice is a courtesy and not a condition of the change.

我们可随时修改、限制、弃用或停止本服务的任何部分（含模型、功能与配额）。如变更实质性减少已付费功能，我们将尽合理努力提前通知；该通知为善意提示，不构成变更的前提条件。

We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if your use poses a risk to the Service or other users. On termination, your right to use the Service ends, retention obligations cease, and content may be deleted.

如你违反本协议、法律要求，或你的使用对本服务或其他用户构成风险，我们可立即暂停或终止你的访问。终止后，你的使用权终止，保管义务解除，内容可能被删除。

Where you delete your account, your active data is cleared upon deletion, and residual copies in backups are purged as backup rotation proceeds, within ninety (90) days at the latest. This does not affect data we must retain for legal, tax, or dispute-resolution purposes.

你注销账号的，在用数据在注销时清空；备份中的残留副本随备份轮换清除，最长不超过九十（90）日。法律、税务或争议解决所必需留存的数据除外。

9. Disclaimer of Warranties九、免责声明

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that defects will be corrected or that output will meet your expectations.

本服务按"现状"及"现有可用"状态提供。在适用法律允许的最大范围内，我们否认一切明示或默示担保，包括适销性、特定用途适用性、不侵权、准确性，以及不间断或无错误运行。我们不保证缺陷会被修复，也不保证输出符合你的预期。

10. Limitation of Liability十、责任限制

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption, even if advised of the possibility.

在适用法律允许的最大范围内，任何一方均不对间接、附带、特殊、后果性、惩罚性或示范性损害承担责任，亦不对利润损失、收入损失、数据丢失、商誉损失或业务中断承担责任，即使已被告知该等可能性。

Our aggregate liability arising out of or relating to the Service is limited to the greater of (a) the total amount you actually paid to us in the six (6) months preceding the event giving rise to the claim, or (b) USD 100. Multiple claims do not enlarge this cap. Where a jurisdiction does not allow certain exclusions or limitations, they apply only to the minimum extent permitted.

我们就本服务所承担的累计责任，以（a）引发索赔事件前六（6）个月内你实际支付给我们的金额，与（b）100 美元，二者中的较高者为限。多次索赔不叠加该上限。如某法域不允许特定排除或限制，则该等条款仅在法律允许的最小范围内适用。

11. Indemnity十一、赔偿

You agree to indemnify and hold harmless Dooflo and its officers, employees, and contractors from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising from your Input, your Output, your use of the Service, or your breach of these Terms or of any third-party right.

因你的输入、输出、你对本服务的使用，或你违反本协议及任何第三方权利而产生的任何索赔、要求、损失、责任或费用（含合理律师费），你同意向我们及我们的人员、雇员与承包商作出赔偿并使其免受损害。

12. Third-Party Services and Model Terms十二、第三方服务与模型条款

The Service routes your requests to third-party model providers and cloud infrastructure. Your prompts, reference materials, and generated assets may be transmitted to those providers for processing. Their terms and acceptable-use policies also apply, and they may impose additional restrictions on commercial use of output.

本服务将你的请求转发至第三方模型供应商与云基础设施。你的提示词、参考素材与生成资产可能被传输至该等供应商处理。其条款与使用规范同样适用，并可能对输出的商业使用附加限制。

We are not responsible for the acts, omissions, availability, or output of third-party providers, and we do not control their retention or training practices. You should review their terms before commercial exploitation of Output.

我们对第三方供应商的行为、不作为、可用性或输出不承担责任，亦无法控制其留存或训练实践。在商业利用输出前，你应自行审阅其条款。

13. Our Intellectual Property十三、平台知识产权

The Service, including software, interface, workflows, prompt libraries, templates, and documentation, is owned by Dooflo and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with these Terms. No other rights are granted by implication.

本服务（含软件、界面、工作流、提示词库、模板与文档）归本平台所有并受知识产权法保护。我们授予你一项有限、可撤销、非独占、不可转让的权利，供你依本协议使用本服务。未明示授予的权利均予保留。

You must not copy, modify, distribute, reverse engineer, decompile, scrape, or create derivative works of the Service, or use it to train a competing model, except as expressly permitted by law.

除法律明确允许外，你不得复制、修改、分发、逆向工程、反编译、爬取本服务或创作衍生作品，亦不得将其用于训练竞品模型。

14. Changes to These Terms十四、协议变更

We may update these Terms from time to time. The revised version takes effect when published on this page, and the version number and effective date will be updated. Continued use of the Service after publication constitutes acceptance. If you do not agree, you must stop using the Service.

我们可能不时更新本协议。修订版自本页发布之日起生效，版本号与生效日期同步更新。发布后你继续使用本服务即视为接受。如不同意，应停止使用本服务。

15. Dispute Handling十五、争议处理

The interpretation and performance of these Terms are subject to the laws and regulations applicable in the place where the Service is provided, without regard to conflict-of-law rules. If a dispute arises, the parties will first attempt in good faith to resolve it through friendly negotiation within thirty (30) days. If negotiation does not resolve the matter, either party may seek relief from the competent forum having jurisdiction over the dispute.

本协议的解释与履行，参照本服务提供地的相关法律法规（不考虑法律冲突规则）。如发生争议，双方应先本着诚信原则在三十（30）日内友好协商解决；协商不成的，任一方可向对该争议有管辖权的机构寻求救济。

To the extent permitted by law, each party waives any right to participate in a class or representative action, and all claims must be brought in an individual capacity.

在适用法律允许的范围内，双方均放弃参与集体诉讼或代表人诉讼的权利，所有索赔应以个人名义提出。

16. General十六、一般条款

If any provision is held unenforceable, the remainder stays in effect and the provision is limited to the minimum extent necessary. Our failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or transfer of assets.

如任何条款被认定不可执行，其余条款继续有效，该条款应在必要的最小范围内调整适用。我们未行使某项权利不构成对该权利的放弃。未经我们书面同意，你不得转让本协议；我们可在合并、收购或资产转让时转让本协议。

These Terms, together with the Privacy Policy and the Credits & Refund Policy, constitute the entire agreement regarding the Service and supersede prior understandings. Notices to you may be given by email or by in-app announcement. The English version controls; translations are provided for convenience only.

本协议连同《隐私政策》《积分与退款政策》构成就本服务的完整约定，并取代此前谅解。向你发出的通知可通过电子邮件或应用内公告送达。英文版本为准，其他语言译本仅为便利提供。
